Terms & Conditions and Privacy Policy
Version 2026-07
1. About Mi-Load
Mi-Load ("the Platform", "we", "us") is an online marketplace that introduces shippers of commodities ("Shippers") to road transport operators ("Transporters"). These Terms & Conditions ("Terms") form a binding agreement between you and the owners and operators of Mi-Load.
Mi-Load is an introduction service only. We are not a carrier, freight forwarder, clearing agent, broker, insurer or agent of any user. We do not take possession of, load, transport, insure or deliver any goods, and we are not a party to any agreement concluded between a Shipper and a Transporter.
These Terms apply to every user of the Platform worldwide, whatever country they are located in or operate from, subject only to the mandatory laws of that country that cannot be excluded or limited by agreement.
2. Eligibility, registration & verification
You must be at least 18 years old and authorised to bind the business you register. You warrant that all information and documents you upload (including company registration, tax, vehicle, permit and Goods in Transit insurance documents) are true, current, complete and lawfully obtained.
Accounts are reviewed by a Mi-Load administrator, who may approve, decline, suspend or terminate any account at our sole discretion. Approval of an account is not a guarantee, endorsement or warranty of a user's identity, financial standing, licences, insurance, roadworthiness, competence or conduct. You remain solely responsible for performing your own due diligence on any counterparty.
Transporters must keep valid Goods in Transit (GIT) insurance and must update their documents before expiry. Shippers and Transporters must keep all other licences, permits and insurances required by law.
3. Credits & payments
Use of the Platform requires credits. One (1) credit costs USD 10.00 and allows one load post (Shippers) or one bid (Transporters). Credits are purchased in advance, prices exclude any taxes that may be imposed in your jurisdiction, credits are not legal tender, cannot be transferred and have no cash value.
Credits are non-refundable, except that a Shipper's credit is automatically returned when a load is cancelled before any bid is received. Prices for freight are agreed between users in the currency they select; Mi-Load does not process, hold or guarantee freight payments.
4. Bids, confirmation & information sharing
A Transporter may accept a Shipper's posted rate or submit a counter-bid. A connection is formed only when the Shipper accepts a bid and the Transporter confirms it ("Confirmed Bid").
By registering you expressly consent and instruct Mi-Load, upon a Confirmed Bid, to disclose to the other party of that Confirmed Bid your company name, contact person, telephone number, email address, physical address, company registration and VAT numbers, country, Goods in Transit insurance details and the registration documents you uploaded ("Shared Information"). Before a Confirmed Bid your identity is shown only as an anonymous code (e.g. SH-1234 / TR-5678) with your rating.
Each party that receives Shared Information becomes an independent responsible party for it and must use it only to plan, perform and administer the specific load, must keep it confidential and secure, and must comply with all data-protection and privacy laws that apply to it, including, where applicable, the South African Protection of Personal Information Act 4 of 2013 ("POPIA"), the EU and UK General Data Protection Regulation ("GDPR") and equivalent laws in other countries.
All load planning, contracting, pricing, payment, loading, transport, offloading, documentation, insurance claims and dispute resolution take place directly between the parties, outside the Platform and at their own risk, and the parties are responsible for complying with all transport, road-traffic, customs, cross-border, tax and trade laws that apply to their load.
5. Limitation of liability & indemnity
To the maximum extent permitted by the law applicable to you, Mi-Load, its owners, directors, employees and agents shall not be liable for any loss, damage, claim, cost or expense of any kind (whether direct, indirect, consequential, special or for loss of profit, goods, data or reputation) arising from or connected to: (a) any act, omission, misrepresentation, fraud, default, non-payment, delay, accident, theft, hijacking, contamination, shortage or damage to goods or vehicles; (b) any agreement or dealings between users; (c) the accuracy, validity or authenticity of any information or document supplied by users; or (d) any use or misuse of Shared Information by a recipient after it has been shared in terms of clause 4.
Where liability cannot be excluded, Mi-Load's total aggregate liability to you shall not exceed the amount you paid for credits in the three (3) months preceding the event giving rise to the claim.
You indemnify and hold harmless Mi-Load and its owners, directors, employees and agents against any claim, loss, liability, fine, penalty or cost (including legal costs on an attorney-and-own-client scale) brought by any third party or another user arising from your use of the Platform, your loads or transport services, your breach of these Terms, or your processing of Shared Information.
The Platform is provided "as is" and "as available" without warranties of any kind. We do not warrant uninterrupted or error-free operation.
6. Acceptable use
You may not post false, misleading or illegal loads; bid without the capacity to perform; harass or defraud other users; scrape or harvest user data; circumvent the credit system; or use Shared Information for marketing, resale or any purpose other than the Confirmed Bid. We may remove content and suspend or terminate accounts for any breach, without refund.
7. Privacy & data protection
Mi-Load is the responsible party / data controller for personal information processed on the Platform. We collect the information you provide at registration and while using the Platform (identity and contact details, company and tax details, country and currency, documents, loads, bids, messages, ratings, payment and usage records).
Purposes: verifying accounts; operating the marketplace; sharing Shared Information on Confirmed Bids (clause 4); sending service notifications and emails; processing credit purchases; preventing fraud; complying with law; and improving the Platform. We process personal information on the basis of your consent, the performance of our agreement with you, our legitimate interests and our legal obligations, as recognised by POPIA (section 11), the GDPR (article 6) and equivalent laws.
We share personal information only with the counterparty to a Confirmed Bid, with our service providers (hosting, cloud storage, email and payment processors such as Stripe) who are bound by confidentiality and security obligations, and where required by law. Because the Platform is used internationally, your information may be stored or processed in, and shared with counterparties located in, countries other than your own. Where the law requires, we only transfer information to recipients that are subject to laws, binding rules or contractual safeguards providing an adequate level of protection (including POPIA section 72 and the GDPR's international-transfer rules).
We apply reasonable technical and organisational security measures, including encrypted connections, hashed passwords and access controls, and we will notify you and the relevant supervisory authority of any security compromise where the law requires.
We retain your information for as long as your account is active and thereafter for as long as needed for legal, tax, audit and dispute purposes, after which it is deleted or de-identified.
Depending on where you are located, you may have the right to access, correct, delete or port your personal information, to restrict or object to processing, to withdraw consent (which may prevent further use of the Platform but does not affect information already shared on Confirmed Bids), and to lodge a complaint with your local data-protection authority (for example, the Information Regulator in South Africa at inforeg.org.za, or the supervisory authority in your EU/UK country). Requests may be sent to our Information Officer / privacy contact at admin@mi-load.com.
We will not send you direct marketing by electronic communication without your consent where your local law requires consent.
8. Governing law, mandatory local laws & general
These Terms apply to all users worldwide. They are governed by the laws of the Republic of South Africa, where Mi-Load is operated, and disputes with Mi-Load are subject to the jurisdiction of the South African courts — except where the mandatory laws of your country of residence or operation give you rights or protections that cannot be excluded by agreement, in which case those mandatory provisions apply to you to the extent required, and nothing in these Terms limits them.
If any provision of these Terms is invalid or unenforceable under the law of any jurisdiction, it shall be enforced to the maximum extent permitted there, and the remaining provisions stay in full force. You are responsible for ensuring that your use of the Platform complies with the laws of the countries in which you operate.
We may amend these Terms from time to time. The updated version will be published on the Platform and, where required by law, we will notify you; continued use after publication constitutes acceptance. No failure to enforce a right constitutes a waiver.
These Terms are written in English. Translations are provided for convenience only; if there is any conflict, the English version prevails to the extent permitted by applicable law.
